What is the difference between a virtual, hybrid, and traditional general meeting?

In a traditional general meeting, shareholders attend the meeting physically on-site. Inderes Oyj offers shareholders of its clients the opportunity to follow a traditional general meeting via a real-time webcast. However, during the webcast, shareholders do not have the ability to ask questions, make counterproposals, speak, or vote. Simply following the webcast of the traditional meeting is not considered participation or exercising shareholder rights. A shareholder following the general meeting via webcast can exercise their voting rights by voting in advance on an agenda item, if advance voting is available at the meeting.

Shareholders may be given the opportunity to submit written questions and comments during the webcast of a traditional general meeting. Such communication does not constitute formal participation in the general meeting and thus does not allow exercising shareholder rights under the Companies Act, such as the right to ask questions or speak.

In contrast, in a hybrid meeting, shareholders can fully participate and exercise their rights during the meeting either by attending the meeting in person or via remote connection.

A virtual meeting differs from a traditional and hybrid meeting only in terms of venue requirements. A virtual general meeting is held entirely online without a physical meeting location. Shareholders can participate fully remotely and exercise all shareholder rights, such as asking questions, speaking, and voting, just as they would in a traditional general meeting. Shareholders can participate in a virtual meeting effortlessly with up-to-date internet connectivity and the technical tools provided by Inderes Oyj. The chairperson and secretary of the meeting can join directly from a studio, which is extremely easy to rent through us.
